MONTHLY MEMBERSHIPS

Please read our Terms and Conditions (“the Terms”) carefully before signing up for membership on a “monthly” basis, In these Terms “we”, ”us”, ”our” means Boxx London Limited. And “you”, “your”, “yours” means you, the client. “Boxx” is a trading name of Boxx London Limited.

A. TERMS AND CONDITIONS – FOR CUSTOMERS WITH A MEMBERSHIP
Please read these Terms carefully before signing up for membership. Please also refer back to these Terms from time to time, as they will continue to apply to your membership. By signing up for membership you are confirming that you have read the Terms and agree to be bound by them. Section A of these Terms constitutes a membership contract between you and us.

IMPORTANT INFORMATION ABOUT DATA PROTECTION: The nature of our business and the provision by us of Classes to you means that we will collect and process certain of your personal data from time to time. We will only do so in accordance with our Privacy Notice, which you can on our website.

1. INTRODUCTION
All classes provided at our premises or by us under the Boxx brand are supplied by Boxx London Limited Limited, trading as Boxx, (whose registered office is Mae House, Marlborough Business Centre, 96 George Lane, E18 1AD and whose company number is (9998881), subject in each case to the following express Terms.

2. MEMBERSHIP CONTRACT PERIOD
All memberships are on a monthly (payment month by month) basis. Your initial period of your membership will be 3 months. You shall not be entitled to bring this contract to an end during the initial period of your membership. At the end of the initial period of your membership, you can choose: (i) to continue with your membership on a rolling monthly basis on the prevailing membership fee rate that applies from month to month; or (ii) cancel your contract in accordance with Section 24 below. If you elect to pay for your membership on a “monthly” basis then your membership fee each month will be at our then prevailing membership fee rates.

3. BOOKING CLASSES
The cost of each Class will be shown clearly on the online timetable. All Classes included in your chosen membership type (see clauses 11 and 12 below) will have no cost attributed to them. Bookings for Classes can be made up to 14 days in advance. Bookings can be made: (i) via the online timetable on our website; or (ii) in person at our premises. It is your responsibility to ensure that you have made your booking and (where relevant) submitted payment correctly.

4. CHANGING OR CANCELLING YOUR BOOKINGS AND NO SHOWS.
You may change or cancel your booking for a Class prior to the class start time. Due to limited spots available, we ask that you cancel a minimum of 12 hours before the class start time to allow others to book in. If you fail to attend a class without cancelling or notifying us prior to the start of the class you will be charged £10 (if a member) or lose a credit (if have class packs).  You may change or cancel a Class booking: (i) online via our website; or (ii) via the MindBody App (iii) by emailing us at [email protected]

5. IF WE CANCEL YOUR BOOKING
In the event that we cancel a Class that you have booked, we will make reasonable efforts to contact you by email or telephone to let you know. We will offer you the choice between: i. having your Class Packs re-credited with the price paid for the cancelled Class (and you can use any such amounts re-credited to your Class Packs in accordance with the provisions of these Terms); or ii. being transferred to another equivalent Class at an alternative date and time.

6. CLASS BOOKING CONFIRMATION
Your booking is not complete until you have received a booking confirmation from us. Please make sure you receive a booking confirmation before you attend the Class. If you do not receive confirmation please contact us by e-mail (studio email address can be found by visiting the contact us page), or in person through the receptionist on duty. Class prices are subject to change at any time before we accept your booking. All Classes are offered by us subject to availability. We do not guarantee availability at any time.

7. LATENESS POLICY
We operate a policy which prevents you taking part in a Class if you are more than 5 minutes late for the relevant Class (in such situations you will be deemed to be “late”). This policy is in place to prevent injury and to be mindful of the teacher and other participants in the Class. 

8. LIABILITY
We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable, or for loss or damage which is your own fault or which is attributed to a third party unconnected with the provision of our services. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we accepted your order.

We do not in any way exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation or for any breach of any terms implied by law

9. MEMBERSHIP FEE CHANGES
We reserve the right to review and change membership fees and Class fees periodically. Once your initial contract period has come to an end, if you choose to continue with your membership (i.e. by continuing on a rolling monthly basis), the membership fee will be charged at the rate prevailing per month for monthly rolling contracts.

10. WHAT’S INCLUDED IN A BOXX MONTHLY MEMBERSHIP
12 Classes per month are including in our monthly membership. Workshops and other events are excluded.

11. PROMOTIONAL PURCHASES
Promotional purchases are only valid towards applicable genres outlined at the point of purchase. Promotional purchases cannot be exchanged for any other service or product that we offer. Promotional purchases are non-refundable.

12. PROMOTIONAL OFFERS
From time to time we may run various promotions, prize draws and other offers (“Promotions”). We may implement separate terms and conditions in respect of any such Promotion, and will advise you accordingly where this is the case. However, notwithstanding this:

12.1 We reserve the right to end any promotion without warning at any time.
12.2 We also reserve the right to withdraw your right to any Promotion if we consider, in our absolute discretion, that you have abused, misused or gained an unfair advantage in respect of the Promotion. Misuse includes, but is not limited to, the creation of multiple customer accounts and self-referral.
12.3 Additionally, we reserve the right to not fulfil any future bookings made by any customer found to have abused, misused or gained an unfair advantage in respect of the Promotion. Any prizes offered by us in connection with a Promotion must be claimed within 21 days of announcement of the winners. We have 45 days to issue any such prize. We reserve the right to substitute any prize or promotion for the equivalent value in Classes.

13. PAYMENT MONTHLY
Your initial contract period membership fee are to be paid in monthly instalments. Monthly membership fees can be paid by credit/debit card or direct debit via our online checkout process. Your first monthly membership fee payment will be processed on the date you sign up for your membership. Your subsequent monthly membership fee payments will then be processed via your original payment method on the same day in each month that corresponds to the day of the month on which you signed up for membership (or the nearest equivalent day in shorter months (where relevant)). This also applies where you have elected to remain on a rolling monthly contract at the end of your fixed term contract period.

14. NON-PAYMENT OF MEMBERSHIP FEES
If your membership fees become overdue, we reserve the right to refuse you entry into our Classes and/or other Boxx events until the overdue sums are paid in full. Should you default on payments to us (after we have tried to collect payment twice), you will cease to be a member and will become a “Drop In” customer until such time as the relevant month’s payment is paid. We reserve the right to notify any default to a credit reference agency or other third party as part of our efforts to obtain payment from you.

15. CANCELLATION OF MEMBERSHIP
If you are a “membership” customer, in order to terminate your membership, you must give us a minimum of 30 days’ notice via e-mail to [email protected] If you wish the membership to terminate at the conclusion of your initial contract period set out in section 2, you must notify us at least 30 days before the end of this initial contract period to ensure that your membership ends and that no further payments are taken.

Please note if you want to freeze your membership, you are only able to do so for a period of one month only. Members must request a Membership Freeze in writing via email at [email protected] It is not possible to Freeze a membership in the first three month term.

16. HOW WE CAN CONTACT EACH OTHER
By you: Contact can be made by e-mail (studio email address can be found by by visiting the contact us page) or in person to the receptionist. You may change or cancel a Class booking by email, or in person at our premises.
By us: We may contact you using any of the contact details you provide to us when you sign up for a Boxx account, which may include via telephone or text message. Our Privacy Notice on our website sets out how we may process your personal data, which includes the contact details you provide to us.

17. FORCE MAJEURE
We shall not be liable to you or deemed to be in breach of these Terms by reason of any delay in performing or any failure to perform any of our obligations in relation to these Terms if the delay was due to any cause beyond our reasonable control, including, but not limited to, Acts of God, terrorism, explosion, flood, storm, fire, war or threat of war, riot, sabotage, insurrection, civil disturbance, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any government, parliamentary, or local authority, strikes, lockouts or other industrial action or trade disputes (whether involving our employees or those of any third party), I.T. system failures, viruses, difficulties in obtaining raw materials, labour , fuel, parts or machinery, power failure or breakdown in machinery.

18. WAIVER
No delay or failure by either party to exercise any of its powers, rights or remedies under these Terms will operate as a waiver of them, nor will any single or partial exercise of any such powers, rights or remedies preclude any other or further exercise of them. Any waiver, to be effective, must be in writing.

19. SEVERABILITY
If any part of these Terms is found by a court of competent jurisdiction or other competent authority to be invalid, unlawful or unenforceable then such part will be severed from these Terms, the remainder of which will continue to be valid and enforceable to the fullest extent permitted by law.

20. ENTIRE AGREEMENT
These Terms together with our disclaimer and any policies we have in force from time to time constitute the entire agreement between us and you and shall have effect to the exclusion of any other memorandum, agreement, or understanding of any kind, whether oral or written, between us and you.

21. THIRD PARTY RIGHTS
These Terms constitute a contract between you and us. No other person shall have the right to enforce any of these Terms.

22. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with English law and the parties hereby agree to submit the exclusive jurisdiction of the English courts.

 “FIRST TIMER”, “DROP IN” AND “CLASS PACKS”

2. FIRST TIMER, DROP IN OR CLASS PACKS CONTRACT PERIOD
You are bound by these Terms from the date on which you make a payment to attend a Class until such time as you unsubscribe.

3. BOOKING CLASSES
The cost of each Class will be shown on the online timetable according to your profile: Drop In, First timer, Class Packs holder. Bookings for Classes can be made up to 14 days in advance. Bookings can be made: (i) via the online timetable on our website; (ii) on the MindBody app; or (iii) in person at our premises. It is your responsibility to ensure that you have made your booking and (where relevant) submitted payment correctly.

4. PAYMENT via First Timer Offer

You can pay for Classes via the First Timer Offer option. Payment for your Classes may be made by credit card or debit card. Payments can be made: (i) online; or (ii) in person at our premises. Once a First Timer Offer has been purchased it cannot be refunded, even if you do not use the classes.

5. PAYMENT via Drop In

You can pay for Classes via the Drop In option. Payment for your Classes may be made by credit card or debit card. Payments can be made: (i) online; or (ii) in person at our premises. Once a Class Pack has been purchased it cannot be refunded, even if you do not use the classes.

6. PAYMENT via Class Packs

You can pay for Classes, excluding monthly memberships, provided you have first registered for a Class Pack via our website. Payments may be made by credit card or debit card. Payments can be made: (i) online; or (ii) in person at our premises. Once a Class Pack has been purchased it cannot be refunded, even if you do not use the classes.

7. DROP IN AND CLASS PACKS EXPIRY
Boxx Drop In classes expire 30 days from date of purchase. Boxx 5 Class Packs expire 3 months from day of purchase. Boxx 10 and 20 Class Packs expire 6 months from day of purchase. Following the Expiration Date, any unused classes will no longer be valid. Class Packs money cannot be transferred to any third party or to any other Boxx account and cannot be exchanged for any other service or product that we offer.

8. PROMOTIONAL PURCHASES

If you do cancel within 12 hours of your Class start time you will lose your credit and not be entitled to a refund. If you fail to attend a class without cancelling or notifying us prior to the start of the class you will also lose your credit and not be entitled to a refund.  You may change or cancel a Class booking: (i) online via our website; or (ii) via the MindBody App.

15. CHANGE OF PRICES
We reserve the right to review and change the price of our Classes at our sole and absolute discretion

18. FORCE MAJEURE
